# Vibiz company formation

**Connect first.** Not logged in (a tool answers `unauthorized` with `reason: not_logged_in`, or the CLI says "Not logged in")? Run `npx @vibiz/cli login`: show the person the link it prints and ask them to click Authorize (their account is opened on the way if they have none), then go on. Or connect the remote MCP server, nothing to install: `claude mcp add --transport http vibiz https://app.vibiz.app/mcp` (the client opens the same sign-in on first use). Never ask the person to paste a key into the chat. **Keep the CLI current:** a command named here that your `vibiz` doesn't have (an unknown-command or usage error) means the CLI is out of date, not that Vibiz can't do it: run `npm install -g @vibiz/cli@latest` (or `npx -y @vibiz/cli@latest <command>`) and retry, and refresh these skills with `vibiz skills add --global`. Never tell the person something isn't possible because an old CLI lacks the command.

## Say this first

Vibiz files formation documents on the owner's instructions. **It is not a law firm and gives no legal or tax advice.** When asked which entity or state to choose, explain the options neutrally and let the owner decide; suggest a lawyer or accountant for advice.

## Cost

- `vibiz_company { action: "catalog", state: "DE" }` returns the state fee per entity type and a quote. **Amounts are in cents**: `11000` is $110.00.
- Total = state fee + Vibiz service fee (`service_fee_cents`, $149.00 today) (+ `expedite_fee_cents` for an expedited EIN, $0 today). The registered agent is included. A live filing is paid from the account's credits (`402 payment_required` when short: the owner adds credits or pays the filing by card from the console).
- Quote from the catalog every time; don't recall numbers. Don't guess renewal or annual costs: they are not in the catalog.

## Draft

`vibiz_company { action: "draft", project_id, env: "development", draft: { … } }`, then read `problems` until it is empty. A draft needs:

- `entity_type` (`llc` | `c_corp`) and `state` (the owner's choice);
- 1–3 `names` without the ending;
- `industry` from the catalog's `industries`, a `description` of at most 50 characters;
- `business_address` and `mailing_address`: `{ use: "registered_agent" }` (no extra fee) or `{ use: "own", address }`; Indiana and Illinois need their own;
- `people` (1–10) with `first_name`, `last_name`, `email`, `address` (`country` as three letters like `USA`, `phone` in E.164); LLC `ownership_percent` summing to 100; C-Corp `roles` (president, secretary, treasurer, director) and `shares { authorized, par_value_usd }`; exactly one `responsible_party` (with an email).

## Filing

- Development runs the whole flow for free: `vibiz_company { action: "submit", project_id }`, then `simulate` with `step: "formation"`, then `step: "ein"`. Nothing is filed. `get` shows `status`, `actions[]` (what the state needs), `signatures[]` and `documents[]` (production: masked).
- CLI: `vibiz company [--dev]` (status and next step), `vibiz company draft --file company.json [--dev]`, `vibiz company simulate formation|ein`, `vibiz company sign ss4|form_8821 [--dev]` and `vibiz company docs [download <id>] [--dev]` (production signing and documents are the owner's).
- A real filing is the **owner's**: console ▸ Company, or `vibiz company submit` with an owner key (it shows the price and asks them to type the company's name). An agent gets `403 owner_only`: pass on `details.next_step`.
- **Never** ask for, accept or send an SSN or ITIN. The responsible party enters it in the console or the CLI.

**Console links**: send the owner to `/projects/<id>/company` on the console (`?env=development` for the test copy). `vibiz_docs console-urls` lists every page and its parameters.

## Not hosted on Vibiz?

Company formation needs no hosting and no app code: a project with no resources does (`vibiz init <name> --resources none`, or `vibiz_create_project { resources: "none" }`). The vibiz-use-one skill covers using any one service alone.
